These Terms of Use set out the legal terms and conditions governing your use of www.elawchambers.com (the "Website") and the E-Law Chambers customer portal (the "Customer Portal"), operated by E-Law Chambers, Law Firm Registration No. W/T/2/2397 (hereinafter referred to as "ELC," "We," "Us," or "Our"). These Terms of Use apply to all individuals and entities ("you," "your") who access the Website or the Customer Portal.

By accessing and using the Website or the Customer Portal, you confirm that you have read, understood and agree to be bound by these Terms of Use. Together with our Privacy Policy, these Terms of Use constitute a legal and binding agreement between you and ELC, enforceable under the laws of Sri Lanka.

1. Use of the Website and Customer Portal

Your use of the Website and the Customer Portal must be lawful and in accordance with these Terms of Use. It is your responsibility to ensure that your use complies with all applicable laws, regulations and the rights of third parties. If you are using the Website or the Customer Portal on behalf of a company or organisation, you represent that you are authorised to act on behalf of that entity and to bind it to these Terms of Use.

2. Permitted uses

You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Website and, if you are a registered client, the Customer Portal, solely for lawful purposes and in accordance with these Terms of Use. This includes accessing information, contacting us for legal services, and engaging with content and services provided by us.

3. Customer Portal

3.1 Access and accounts

  • The Customer Portal is available only to clients and authorised users whom ELC has approved. We may accept, refuse, suspend or withdraw access at our discretion, including where we cannot complete our client due diligence.
  • You must keep your login credentials strictly confidential, must not share them with any other person, and are responsible for all activity carried out under your account.
  • You must notify us immediately at info@elawchambers.com if you suspect any unauthorised access to or use of your account.
  • Where you authorise other individuals (for example, directors or staff) to use the Customer Portal on your behalf, you are responsible for their acts and omissions and for ensuring that they comply with these Terms of Use.

3.2 Security and prohibited conduct on the Customer Portal

You must not, and must not attempt or permit any other person to:

  • hack, breach, probe, scan or test the vulnerability of the Customer Portal, or circumvent or interfere with any authentication, authorisation, encryption or other security feature;
  • reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, structure, algorithms, database schema or underlying technology of the Customer Portal or any part of it, except to the extent this restriction is expressly prohibited by applicable law;
  • copy, modify, adapt, translate, create derivative works from, sublicense, sell, resell, rent, lease or otherwise commercially exploit the Customer Portal or its content;
  • gain or attempt to gain unauthorised access to the Customer Portal, its servers, databases or connected systems, or to another user's account, documents or data;
  • introduce viruses, malware, malicious code or any other harmful or disruptive material;
  • use bots, scrapers, crawlers or other automated tools to access or extract data from the Customer Portal;
  • overload, disrupt or impair the Customer Portal, including through denial-of-service attacks; or
  • use the Customer Portal to store, transmit or distribute any unlawful, harmful, fraudulent, defamatory or infringing material.

We monitor and log activity on the Customer Portal for security and compliance purposes. We may report suspected unlawful activity to the relevant authorities and pursue all available civil and criminal remedies.

3.3 Accurate, complete and truthful information (AML / CDD)

ELC is subject to obligations under the Financial Transactions Reporting Act, No. 6 of 2006 and related anti-money laundering and counter-terrorist financing laws of Sri Lanka (together, the "AML/CFT Laws"). We are required to carry out Customer Due Diligence ("CDD") on our clients, their beneficial owners and persons acting on their behalf. Accordingly, you agree and undertake that:

  1. all information and documents you provide to us through the Customer Portal or otherwise, including identity documents, proof of address, beneficial ownership and control information, source of funds and source of wealth, and the purpose and nature of the transaction or relationship, will be true, accurate, complete, current and not misleading;
  2. you will not submit forged, altered or falsified documents, or any document that you are not authorised to provide;
  3. you will promptly update us in writing of any change in the information provided, including changes in directors, shareholders, beneficial owners, address, or the nature of your business or transactions;
  4. you will respond fully and promptly to our requests for further information or documents, including requests made as part of ongoing monitoring or enhanced due diligence;
  5. you will not use ELC's services or the Customer Portal for money laundering, terrorist financing, tax evasion, fraud, sanctions evasion or any other unlawful purpose; and
  6. you have obtained any necessary authority or consent from other individuals (such as directors, shareholders and beneficial owners) before submitting their information to us.

You acknowledge that:

  • we may verify the information you provide using independent and reliable sources, including public registers and screening databases;
  • we may refuse to act, delay, suspend or terminate our services and access to the Customer Portal without liability if CDD is incomplete or unsatisfactory, or if we suspect a breach of these Terms or of the AML/CFT Laws;
  • we may be legally required to make reports to the Financial Intelligence Unit of the Central Bank of Sri Lanka or other competent authorities, and we are prohibited by law from informing you of any such report ("tipping off"); and
  • providing false, misleading or incomplete information may constitute an offence under the AML/CFT Laws and other applicable laws, and you will be solely responsible for all consequences arising from it.

3.4 Your responsibility for your content

You are responsible for all documents, information and content you upload to the Customer Portal and warrant that you have the right to submit it and that it does not infringe the rights of any third party. Uploaded documents must be free of malicious code.

3.5 Availability

We will make reasonable efforts to keep the Customer Portal available, but we do not guarantee uninterrupted or error-free access. We may suspend the Customer Portal for maintenance, security or legal reasons, with or without notice.

4. Prohibited uses (Website generally)

You agree that you will not use the Website or the Customer Portal for any unlawful or prohibited purpose, including but not limited to:

  • engaging in any activity that violates local, national or international laws or regulations;
  • attempting to gain unauthorised access to any part of the Website or its underlying infrastructure, including servers, databases or connected computer systems;
  • disrupting, compromising or interfering with the security, integrity or proper functioning of the Website, including through viruses, malware or other harmful software;
  • misrepresenting your identity or affiliation with any person or entity, or providing false, misleading or deceptive information;
  • reproducing, duplicating, copying, modifying, distributing, selling, reselling or otherwise exploiting any portion of the Website or its content for commercial purposes without our express written consent;
  • using automated systems or software to extract data or content, including scraping, data mining or harvesting tools;
  • engaging in any conduct that could harm, disable, overburden or impair the Website or interfere with any other party's use and enjoyment of it;
  • flooding, spamming or launching denial-of-service attacks or otherwise disrupting other users;
  • attempting to reverse engineer, decompile or disassemble any portion of the Website's code or technology, except as permitted by applicable law; and
  • uploading, transmitting or distributing any illegal, harmful, defamatory, obscene or otherwise objectionable content that infringes the rights of others.

5. Intellectual property

All content, materials and information on the Website and the Customer Portal, including text, graphics, logos, images, software, website and portal design, section arrangement, workflows and source code, are the intellectual property of E-Law Chambers or its licensors and are protected by applicable copyright, trademark and other intellectual property laws.

The trademarks and logos displayed are the registered and unregistered trademarks of ELC and others. Nothing on the Website or the Customer Portal should be construed as granting any licence or right to use any trademark displayed without the prior written permission of its owner. All rights not expressly granted are reserved by ELC.

References to third-party trademarks are made solely for identification purposes. These Terms of Use do not grant you any right to use third-party trademarks.

6. Privacy Policy

The collection, use, processing and protection of your Personal Data is governed by our Privacy Policy. Your access to and use of the Website or the Customer Portal does not by itself imply consent to our Privacy Policy. Where consent is required, you must provide it explicitly by reviewing and agreeing to our Privacy Policy separately. Please note that certain Processing, including CDD and AML/CFT compliance, is carried out to comply with legal obligations and does not depend on your consent.

7. Cookies

The Website and the Customer Portal may use cookies and similar tracking technology to enhance user experience, maintain secure sessions and analyse site usage. For details of the types of cookies we use and how to manage them, please refer to our Privacy Policy.

8. Limitation of liability

To the fullest extent permitted by law, ELC shall not be liable for any direct, indirect, incidental, consequential, special or punitive damages, or any other damages of any kind, arising out of or in connection with your use of the Website or the Customer Portal or any content or materials provided in them. This includes, but is not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, whether in contract, tort (including negligence) or otherwise.

Without limiting the above, ELC is not liable for any loss, delay, penalty or consequence arising from information that you have provided which is inaccurate, incomplete or misleading, or from a delay or refusal to act arising out of our AML/CFT obligations.

9. Disclaimer

The information on the Website is for general informational purposes only. It does not constitute legal or professional advice or a solicitation for legal services, and should not be relied on as a substitute for specific advice. The content is provided "as is" and "as available" without warranties of any kind, express or implied.

Use of the Website, or any communication with ELC through the Website, does not by itself create an attorney-client relationship. An attorney-client relationship arises only where ELC has expressly agreed to act, following completion of our engagement and CDD procedures. Please do not send confidential information through the Website's contact form before that relationship is established.

We make no representations or warranties regarding the quality, accuracy, completeness or suitability of the content on the Website. The information is based on circumstances at the time of its original publication and may not reflect subsequent changes or developments, and we do not guarantee that it remains current or accurate.

10. Links to other websites

The Website may contain links to third-party websites that are not owned or controlled by ELC. These links are provided for convenience and to offer additional information or resources related to our content.

ELC does not endorse or assume responsibility for the content, privacy practices or terms of use of any third-party website, and has no control over, and assumes no liability for, their actions, policies or practices. The inclusion of a link does not imply endorsement.

If you access any third-party website through a link on the Website, you do so at your own risk and are responsible for reviewing its terms and privacy policies. ELC may remove any link at its sole discretion and without notice.

11. Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless E-Law Chambers, including its affiliates, partners, directors, officers, employees,

agents and representatives, from any and all claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees and expenses) arising out of or related to:

  • your use or misuse of the Website or the Customer Portal;
  • any violation by you of these Terms of Use or any applicable laws or regulations, including the AML/CFT Laws;
  • any false, inaccurate, incomplete, forged or misleading information or document provided by you or on your behalf;
  • any unauthorised access to the Customer Portal through your credentials, or any hacking, reverse engineering or security breach attributable to you or persons acting for you;
  • any alleged or actual infringement of third-party intellectual property or other proprietary rights by you; and
  • any content you submit, post or transmit through the Website or the Customer Portal.

This indemnity remains in effect after termination of your access and covers all associated claims and liabilities.

For the avoidance of doubt, nothing in these Terms of Use excludes or limits ELC's liability for death or personal injury caused by its negligence in connection with your use of the Website.

12. Termination or suspension of access

We reserve the right, at our sole discretion, to terminate or suspend your access to the Website or the Customer Portal, in whole or in part, at any time and for any reason, including violation of these Terms of Use, failure to provide or maintain accurate CDD information, suspicion of unlawful activity, or where we believe your use is harmful to us or any third party. We may do so without notice where required by law or for security reasons.

Upon termination you must immediately cease all use and destroy any downloaded or printed materials obtained from the Website or the Customer Portal, subject to any records you are legally required to keep. Termination does not affect any rights or obligations accrued before termination, and does not affect our right to retain records as required by law. We shall not be liable to you or any third party for any termination or suspension of access.

13. Changes to these Terms of Use

ELC reserves the right to modify or update these Terms of Use at any time without prior notice. Changes are effective immediately upon posting on the Website. Your continued use of the Website or the Customer Portal after posting constitutes acceptance of the revised Terms.

It is your responsibility to review these Terms periodically. If you do not agree with the revised Terms, you must stop using the Website and the Customer Portal.

Where a significant change materially affects your rights or obligations, ELC will make reasonable efforts to notify you. However, ELC's failure to notify you does not affect the applicability of the revised Terms.

14. Governing law and jurisdiction

These Terms of Use, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any legal action or proceeding arising out of or related to these Terms of Use shall be brought exclusively in the courts of Sri Lanka. By accessing or using the Website or the Customer Portal, you consent to the jurisdiction of, and venue in, such courts and waive any objection to such jurisdiction or venue.
